1. General provisions
1.1. This document is a public offer by Maksim Pukhalskii, an individual entrepreneur registered under the laws of Georgia, identification number NAP347016659, registered address: 12 Mzia Eristavi, Georgia (the “Provider”, “we”), to enter into an agreement on the terms set out below.
1.2. The agreement is concluded when it is accepted. Acceptance means any of the following actions:
- registering an account on the Platform;
- purchasing a paid subscription;
- starting to use the Platform’s features.
1.3. By accepting these Terms, you confirm that you have read and accepted these Terms and the Privacy Policy.
1.4. The Platform is primarily intended for users and customers outside Georgia. We do not conduct targeted marketing in Georgia, although the website may be technically accessible from Georgia. You are responsible for assessing whether use of the Platform is permitted under the laws applicable in your location.
2. Definitions
2.1. Platform means the Branzy software product, including the messenger, task tracker, calendar, and knowledge base available through the web interface and mobile applications.
2.2. User means an individual who has accepted these Terms.
2.3. Consumer means a User acting for purposes unrelated to their business or professional activity.
2.4. User Content means any materials uploaded, created, sent, or otherwise placed on the Platform by a User.
3. User requirements
3.1. The Platform may be used by persons who are at least 16 years old and have the legal capacity required to enter into these Terms.
3.2. The User is responsible for the accuracy of the information provided during registration, including their name, surname, and email address, and for keeping their account credentials secure.
4. Subscription and payment
4.1. Unless expressly stated otherwise, all prices on the Platform are shown in US dollars (USD).
4.2. The paid offering is the Branzy Pro subscription. Pro is sold in packages for a fixed number of users (seats): 7, 10, 20, 30, 50, 70, 100, 200, 300. The smallest package is 7 users and the largest is 300 users; a subscription for fewer than 7 users is not available. Prices are shown in US dollars per user per month before any team discount: $7.00 when billed monthly and $5.00 when billed annually (an annual subscription is paid for 12 months in advance). A team discount applies to both billing periods, as shown in the table below. The price of a package equals the price per user × the number of users × the number of months in the billing period × (1 − the discount). The current prices are:
| Users in the package | Team discount | Per user per month, billed monthly | Package, billed monthly (per month) | Per user per month, billed annually | Package, billed annually (per 12 months) |
|---|---|---|---|---|---|
| 7 | — | $7.00 | $49.00 | $5.00 | $420.00 |
| 10 | 5% | $6.65 | $66.50 | $4.75 | $570.00 |
| 20 | 8% | $6.44 | $128.80 | $4.60 | $1,104.00 |
| 30 | 11% | $6.23 | $186.90 | $4.45 | $1,602.00 |
| 50 | 14% | $6.02 | $301.00 | $4.30 | $2,580.00 |
| 70 | 17% | $5.81 | $406.70 | $4.15 | $3,486.00 |
| 100 | 20% | $5.60 | $560.00 | $4.00 | $4,800.00 |
| 200 | 23% | $5.39 | $1,078.00 | $3.85 | $9,240.00 |
| 300 | 26% | $5.18 | $1,554.00 | $3.70 | $13,320.00 |
4.3. A subscription is paid in advance and renews automatically for the next billing period (one month or one year, as chosen at purchase) until the User cancels it before the next charge. Access to a free version, if available, is provided without an obligation to purchase a paid subscription.
4.4. Payments are processed by a payment provider. We do not receive or store the full bank-card number. The User must provide accurate payment information to the payment provider and comply with its terms.
4.5. The stated price […] includes / does not include applicable taxes, fees, and payment-provider charges. Where required by law, a tax may be added to the price or withheld as required by law.
4.6. We may change the price for future subscription periods by notifying the User before the period to which the new price applies. If the User does not agree, they may cancel the subscription before the next charge.
4.7. The prices above apply to the cloud version of the Platform. The on-premise version (installation on the User’s own infrastructure) is not sold at list prices: its price is agreed individually. To discuss an on-premise deployment, please write to us in the Branzy Support chat rather than by email.
4.8. Free plan. Without a subscription, the Platform is available in a free version with the following limits:
- shared projects — up to 2 per user (the personal “My tasks” project does not count);
- project members — up to 5;
- notes — up to 20 per project;
- meeting invitees — up to 5 people;
- video call participants — up to 3 at the same time;
- direct messages, tasks, boards, and message history are not limited.
4.9. What Pro includes. A Pro subscription removes the limits listed in clause 4.8: the number of shared projects, project members, notes, meeting invitees, and video call participants is unlimited. Pro applies to a User who has purchased the subscription or has been assigned a seat in a paid package. The video call participant limit is determined by the subscription of the User who created the call room; guests without an account count towards that limit.
4.10. If a User’s subscription ends (is not renewed, is cancelled, or is unpaid), previously created data is kept and remains readable, while creating and changing data in projects that exceed the free-plan limits may be restricted until the subscription is renewed or the project is brought within the limits.
4.11. We may change the contents and limits of the free version by giving Users advance notice in the manner described in section 12.
5. Right of withdrawal
5.1. If you are a Consumer, you retain any withdrawal, refund, and other guarantees provided by mandatory laws of your country of habitual residence.
5.2. In particular, where EU law applies, a Consumer will generally have the right to withdraw from a distance contract within 14 days, unless a statutory exception applies. The service may start immediately at the User’s request, with separate confirmation of the consequences where such confirmation is required by applicable law.
5.3. Where a withdrawal right applies, any refund is calculated taking into account the part of the service already provided and is made within the period required by applicable law. How to request a refund is described in the Refund Policy.
6. Subscription cancellation and refunds
6.1. The User may cancel automatic renewal through the available account settings or by contacting info@branzy.app. Cancellation stops future charges; access usually remains available until the end of the period already paid for.
6.2. Unless mandatory law provides otherwise, a charge for a monthly billing period that has already started is non-refundable. Refunds for annual subscriptions are governed by the Refund Policy. Where a refund is due, it is made using the same payment method, where technically possible.
6.3. If a charge fails, we may restrict access to paid features after notifying the User. This does not affect any refund rights provided by applicable law.
6.4. Detailed rules on cancelling a subscription and on refund requests, timing, and payment are set out in the Refund Policy, which forms part of these Terms.
7. User Content
7.1. All rights in User Content remain with the User.
7.2. The User grants the Provider a limited licence to store, reproduce, and display User Content only to the extent necessary to operate the Platform and provide the services.
7.3. The User warrants that placing User Content on the Platform does not infringe the rights of third parties.
8. Generative-model features
8.1. The Platform includes features that use generative models. Their output is probabilistic and may contain inaccuracies.
8.2. The Provider does not guarantee that such output is accurate, complete, or suitable for a particular purpose. The User is responsible for decisions made on the basis of such output.
8.3. The User must not use these features to create materials prohibited by law.
9. Acceptable use and content moderation
9.1. The User must not:
- violate the laws of Georgia or the applicable laws of the User’s location;
- upload materials that infringe the rights of third parties;
- publish threats, bullying, harassment, insults, discriminatory statements, material encouraging violence, or other content intended to harm another person;
- publish pornographic, sexually exploitative, terrorist, fraudulent, or otherwise unlawful material;
- use the Platform for spam, extortion, stalking, deception, or impersonation;
- take actions that interfere with the operation of the Platform;
- obtain unauthorised access to another person’s account or data;
- resell access to the Platform without the Provider’s written consent.
9.2. Branzy has zero tolerance for abusive, unlawful, threatening, or harmful content and for abuse directed at other Users. A User may report unacceptable content or behaviour through the tools provided in the Platform or by contacting info@branzy.app.
9.3. Branzy may investigate reports, remove or hide the relevant content, limit its distribution, and where necessary block or terminate access for the User who posted it. Where necessary to prevent harm, measures may be taken without prior notice.
9.4. Reports involving potentially dangerous or unlawful content are handled as a priority. Branzy aims to take the necessary action within 24 hours after receiving a substantiated report.
9.5. A User can block any other User from a message menu or a profile. Blocking takes effect immediately and everywhere: all messages from the blocked User are hidden from the blocking User (in direct, group, task and other chats, in search and in notifications), and the blocked User cannot message the blocking User in a direct chat. Blocking is personal, does not remove the User from a shared chat, and does not hide messages from other participants. Every block is forwarded to Branzy moderators for review.
9.6. Branzy automatically reviews the recent messages of Users who have been reported or blocked by other Users, using automated moderation tools. If the review finds a violation, the content may be hidden and the User's access may be restricted or terminated. Branzy may also remove a User from a shared chat or project following a report review.
9.7. In the event of a breach, the Provider may restrict or terminate access after notifying the User, except where immediate restriction is necessary to prevent harm.
10. Service availability
10.1. The Provider aims to keep the Platform available but does not guarantee uninterrupted operation.
10.2. Planned maintenance may occur. The Provider will give advance notice of extended maintenance through the Platform or by email.
11. Liability
11.1. The Platform is provided “as is”.
11.2. The Provider is not liable for loss of profit or indirect losses, except in cases of intent or gross negligence.
11.3. The Provider’s total liability is limited to the amount paid by the User during the […] months preceding the event giving rise to the claim.
11.4. Nothing in these Terms limits Consumer rights that cannot be limited under mandatory law.
12. Changes to these Terms
12.1. The Provider may amend these Terms.
12.2. The User will be notified of material changes by email or through the Platform at least […] days before the changes take effect.
12.3. If the User does not agree to the changes, they may terminate the agreement and request a refund where provided for in section 6 and applicable law.
13. Term and termination
13.1. The agreement remains in force indefinitely until terminated by either party.
13.2. The User may cancel their subscription and terminate the agreement at any time through the account settings or, if that option is unavailable, by contacting info@branzy.app.
13.3. The Provider may terminate the agreement by giving the User at least […] days’ notice, except in cases of a material breach.
13.4. Upon termination, future charges stop. Refunds are governed by section 6 and mandatory applicable law.
14. Personal data
14.1. Personal-data processing is governed by the Privacy Policy.
15. Governing law and disputes
15.1. These Terms are governed by the laws of Georgia.
15.2. Disputes are resolved through negotiations. If no agreement is reached, the dispute is subject to the courts at the Provider’s place of registration.
15.3. If the User is a Consumer, sections 15.1 and 15.2 do not deprive them of the protection granted by mandatory laws of their country of habitual residence or of the right to bring proceedings before a court where such right is provided by law.
